1. Who you are dealing with

Misimi Corp, 548 Market Street PMB 72296, San Francisco, CA 94104 ("DontMisimi", "we"). By creating an account or accepting your audit, you agree to these terms on behalf of yourself or the business you represent.

2. The free scan

The scan reads a sample of public pages and gives an estimate. It is not an audit and is provided as is.

3. Authorisation

You confirm that you own the store you add, or are authorised to approve its migration, and you authorise us to read its pages and the exports you provide for the purpose of planning and performing the migration.

4. Scope, price and date

• The Exit Audit ($149) produces an inventory of your store. That inventory is the scope of your fixed price.
• The price changes only if you add scope in writing, or if your catalogue changes by more than 10% before work starts.
• Dates start when we have your exports and store access, and assume your feedback within 2 business days. Delays on your side move the date.
• Exclusions are listed on our pricing page and in your audit.

4a. How the work is delivered

Services are delivered through a combination of our own automated software and work by our team, as described in Who does what: by our estimate of the work in a typical Starter migration, about 70% automated and 30% human oversight. Our software reads your store, maps and loads the catalogue, creates and checks the redirects and builds the report; our team confirms the inventory and your fixed tier, decides with you on products Shopify cannot hold the same way, applies branding and menus, works through every exception in the reconciliation report, and handles all communication. We do not use AI services in the migration. Final review and approval of each migrated store is performed by you, before the balance is due.

5. Payment

You pay by card through Creem, which sells to you as merchant of record and issues your tax invoice once each payment is made. The audit fee is credited in full to a build you sign within 30 days. A 30% deposit starts the build; the 70% balance is due when you approve the finished store, before ownership transfer and the domain switch. The store stays in our Shopify Partner account until the balance is paid.

6. Guarantees

• Fixed date: if we miss the agreed launch date through our own fault, 5% of the build fee is credited per business week of delay, up to 20%.
• Redirects: every URL in the audit inventory redirects to a live page at launch. Misses reported within 30 days are fixed free within 2 business days. Query-string URLs that Shopify cannot redirect on its servers are listed in your report before launch, with the fallback used.
• Data reconciliation: in-scope products, variants, images and collections match, or every exception is listed for your sign-off before launch.
• Fix window: defects in migrated data or set-up are fixed free for 14 days (Starter) or 30 days (Plus, Pro). New requests are priced at the published add-on prices or $45 per hour, agreed in writing first.

These guarantees are your remedies for the matters they cover.

7. What we don't promise

We don't promise search rankings, sales, or the behaviour of Shopify, our payment provider, NetSource or third-party apps, which are outside our control. We don't give legal, tax or accounting advice.

8. Your responsibilities

You keep your own copies of your ProductCart data, provide accurate exports, choose and pay for your Shopify plan and apps, and set up your payment, tax and shipping accounts (or buy our set-up session).

9. Liability

To the extent the law allows, our total liability for any project is limited to the fees you paid for it, and we are not liable for indirect or consequential loss, including lost profits.

10. Cancellation and refunds

Exit Audit ($149). If you cancel before we email you from hello@dontmisimi.com that your audit has started, we refund the fee in full. Once that email is sent, the audit has started and the fee is not refundable. If we have not sent it within 2 business days of your payment, you may still cancel for a full refund. To cancel, email hello@dontmisimi.com; refunds go back to the card you paid with.

Builds. You may cancel at any time. Fees for work already done are not refundable; an unused deposit is refunded less work done to date at $45 per hour.

Care and Care+ (monthly plans). Billed monthly by card in advance. You may cancel at any time yourself with Manage or cancel subscription in your dashboard (which opens the Creem customer portal), through the portal link in your Creem payment email, or by emailing hello@dontmisimi.com; the plan then ends at the close of the month you have paid for, and you are not charged again. Care plans are not refundable: no refund is given for a month already paid, in full or in part, including when you cancel part-way through it.

11. Law

These terms are governed by the laws of the State of California, United States.
